Terms of Service

These Terms govern Sistine Path, its downloadable Mac app, market-data service and Path subscription pages. Your agreement is with Looks Labs LLC, doing business as Sistine (“Sistine,” “we,” or “us”). Contact: support@sistine.ai. These Path-specific Terms apply to Path; other Sistine products have their own terms.

Initial subscription sales are available to customers using the app in the United States. Provide an accurate US service address at checkout. This is a digital product; no physical goods are shipped.

1. Eligibility and the service

You must be at least 18 and legally able to enter this agreement. Path provides general market research: historical-pattern comparisons, illustrative projected paths, volatility measures and relative-strength screening. It does not execute trades, hold customer funds, connect to a brokerage for trading, or consider your personal finances, objectives or risk tolerance.

Using Path does not create a personal investment-advisory, brokerage, fiduciary or tax-advisory relationship. Its outputs are not recommendations tailored to you, offers to transact, or promises of any investment result. You are responsible for your decisions and should obtain qualified advice when you need advice about your circumstances. These statements describe the service; they do not waive a duty or regulatory requirement that applicable law imposes.

2. Price, consent and monthly renewal

The standard subscription costs $9 USD each month for one Mac. The amount charged at checkout is $9 USD; no additional tax is added to the current offer. The initial payment is due at checkout. Unless you cancel before the next renewal, you authorize Stripe, our payment processor, to charge your selected payment method each month at the price shown at checkout. There is no free trial or annual commitment unless a separate offer expressly says otherwise.

Checkout asks separately for acceptance of these Terms and authorization of recurring charges. Your receipt and billing portal identify your billing period. Stripe processes payment under its applicable terms; Looks Labs LLC supplies Path. Material price changes will be communicated in advance and require any consent or cancellation opportunity required by law. This agreement does not authorize undisclosed charges.

3. Cancellation, refunds and payment problems

Cancel through Subscription → Manage billing in the app or Manage subscription in your purchase browser. If you cannot use those controls, email support@sistine.ai from your billing email and ask to cancel. There is no cancellation fee. Cancellation stops future renewals and ordinarily preserves access until the end of the period already paid for. Uninstalling the app does not cancel billing.

A failed renewal does not grant a new paid period. Stripe may retry a failed payment under the billing settings. You can update payment details in Manage billing. Expired access can be restored after a valid payment; do not purchase a second subscription merely to troubleshoot a connection problem.

Our Cancellation and Refund Policy explains refunds and forms part of these Terms. Mandatory refund, withdrawal, warranty and consumer rights remain available. A full refund or payment dispute can revoke access; verified offline access may remain usable until its short validity period expires.

4. Connecting and using one Mac

After payment, approve the connection initiated by Path on your Mac. No separate app password or monthly activation key is required. A generated credential is saved in your Mac’s Keychain. Keep your billing email accessible and do not share your browser purchase access, Keychain credential or a recovery code supplied by support.

The subscription covers one connected Mac at a time. Contact support to recover a purchase or transfer it to a replacement Mac; we verify ownership before changing access. We do not use a payment-card number or hardware serial number as your app credential.

The app periodically verifies access online. It can work offline for up to 72 hours after verification, never beyond the paid period. Reconnect before that verification expires. Cancellation does not remotely erase copies of files already on your Mac, but ending the subscription ends the right to use the subscription service. Further use of third-party data remains subject to the rights granted for that data.

5. Data coverage and research limitations

Read the Risk Disclosure. Projected paths, rankings and historical agreement can be wrong. They are not calibrated guarantees or probabilities of future returns. We do not promise a trading edge, any accuracy percentage, avoidance of loss, or performance exceeding a buy-and-hold strategy.

Coverage and history vary by asset and provider. “Up to 100 years” does not mean every asset has that history, and no asset has observations from before its existence. Quotes may be delayed, stale, incomplete or incorrect. Futures prices are not interchangeable with spot prices. Daily imports for stocks, indexes, cryptocurrencies and commodity futures are scheduled centrally, but publication depends on provider availability and validation. Exchange-traded instruments receive observations for completed trading days; crypto series update every day.

Models, corporate-action adjustments, source changes, gaps and data corrections can change an output. We may withhold an update that fails validation. A subscription does not guarantee every instrument, a particular data arrival time or uninterrupted availability. Always check the source, effective lookback and observation date.

6. Software and data license

While your subscription is valid, we grant you a limited, personal, non-exclusive, non-transferable license to use Path on your connected Mac for your own research, subject to these Terms. We and our licensors retain rights in the software and licensed data. Brand logos identify assets and do not imply sponsorship or endorsement.

Do not resell, sublicense, bulk redistribute or operate a public or competing data feed using the service’s licensed data. A cache or export function does not grant redistribution rights. Do not share paid access, bypass subscription controls, interfere with security, overload the service, or use it unlawfully. These restrictions do not prohibit activity that applicable law expressly permits despite a contractual restriction.

You retain rights in your own imported files and must have permission to use them. If you choose to send material to support, you authorize us to use it only as needed to investigate and respond, subject to the Privacy Notice. Never send passwords, full card details, brokerage credentials or wallet private keys.

7. Changes, suspension and discontinuation

We may update features, methods and coverage, correct errors or change providers. We will give any required notice or remedy for a material change to a paid service. We may suspend access when reasonably necessary for security, nonpayment, material misuse or a legal obligation. Where practical, we will explain the issue and how to resolve it. Suspension does not remove cancellation or mandatory refund rights.

If we discontinue a service during a prepaid period and can no longer supply what was purchased, we will refund the unused period and provide any further remedy required by law.

8. Warranty limitations

To the extent permitted by law, Path is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant forecast accuracy, investment results, error-free data or uninterrupted access. This does not exclude a non-waivable warranty, consumer guarantee, express commitment or legally required remedy.

9. Limits of liability

To the maximum extent permitted by law, Sistine and its officers, employees and service providers are not liable for indirect, incidental, special, consequential or punitive losses arising from Path, including lost profits, lost investment gains, lost opportunities or business interruption. To that same permitted extent, liability for market losses or decisions made in reliance on illustrative forecasts is excluded.

For other claims arising from Path, aggregate liability is limited to the greater of US$100 or the Path subscription fees you paid us in the 12 months before the event giving rise to the claim.

These exclusions and caps do not apply where prohibited by law, including non-waivable liability for fraud, willful misconduct, gross negligence, death or personal injury, or securities, privacy and consumer rights. They do not cap a refund or remedy that applicable law requires. An unenforceable limit is governed by applicable law, not replaced with a broader waiver.

10. Third-party services

External payment pages, optional direct data connections and third-party services have their own applicable terms and privacy notices. Their inclusion does not imply endorsement. Our use of a supplier does not remove our own non-excludable duties to you.

11. Disputes and mandatory rights

Please contact support to seek a resolution. You do not have to complete informal discussions before exercising a statutory right or meeting a filing deadline. Wyoming law governs this agreement, excluding conflict-of-law rules, except that mandatory protections in your place of residence remain available. Courts with jurisdiction under applicable law remain available. These Terms do not require arbitration or waive class-action rights.

12. Updates and contact

We identify each Terms version. Material changes receive appropriate notice and affirmative acceptance where required; they do not retroactively eliminate accrued rights. Invalid provisions do not invalidate the rest where it can lawfully continue. Questions, cancellation and legal notices may be sent to support@sistine.ai.
